1. Introduction and Acceptance
These Terms and Conditions (“Terms”) govern the provision of marine and aviation safety equipment sales, servicing, inspection, maintenance, repair, and related services (“Services”) by Marine Air Safety Solutions LLC (“MASS,” “we,” “us,” or “our”) to you (“Customer,” “you,” or “your”).
By placing an order, scheduling a service, or accepting delivery of Services or products from MASS, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services or purchase our products.

2. Services Provided
MASS provides the following Services and products:
- Liferaft inspection, servicing, repacking, and certification
- EPIRB (Emergency Position Indicating Radio Beacon) battery replacement, testing, and programming
- PLB (Personal Locator Beacon) battery replacement and servicing
- Lifejacket and inflatable PFD (Personal Flotation Device) inspection and testing
- Immersion suit inspection and pressure testing
- Sale of new marine and aviation safety equipment
- Pyrotechnic equipment (flares) supply and replacement
- Pickup and delivery logistics for safety equipment
- USCG compliance certification and regulatory support
- Emergency swap services for expedited equipment replacement
All Services are performed in accordance with applicable United States Coast Guard (USCG) regulations, manufacturer specifications, and industry standards.
3. Orders and Service Requests
3.1 Order Acceptance
All orders and service requests are subject to acceptance by MASS. We reserve the right to refuse or cancel any order or service request at our sole discretion, including but not limited to cases involving equipment condition, availability of parts, scheduling constraints, or payment issues.
3.2 Order Information
Customers must provide accurate and complete information regarding equipment to be serviced, including make, model, serial number, last service date, and any known defects or issues. Failure to provide accurate information may result in delays, additional charges, or inability to complete the service.
3.3 Quotations
All quotations provided by MASS are valid for thirty (30) days from the date of issuance unless otherwise stated in writing. Quotations are estimates based on the information provided and may be subject to adjustment upon physical inspection of the equipment.
4. Pricing and Payment
4.1 Pricing
All prices are quoted in United States Dollars (USD) and are subject to change without notice. Prices for Services are based on standard servicing requirements. Additional charges may apply for expedited services, replacement parts, emergency services, extensive repairs, or non-standard work.
4.2 Payment Terms
Unless otherwise agreed in writing, payment is due upon completion of Services or delivery of products. MASS accepts payment by cash, check, credit card, wire transfer, or other methods as agreed. A deposit may be required for certain services or large orders.
4.3 Late Payment
Invoices not paid within thirty (30) days of the invoice date will be considered overdue. Overdue accounts may be subject to a late payment fee of 1.5% per month (18% per annum) or the maximum rate permitted by law, whichever is lower. MASS reserves the right to suspend Services and withhold delivery of equipment or certification documents until all outstanding amounts are paid in full.
4.4 Taxes
All prices are exclusive of applicable federal, state, and local taxes, duties, and fees. Customer is responsible for payment of all such taxes, duties, and fees unless Customer provides a valid tax exemption certificate.
5. Service Turnaround and Delivery
5.1 Standard Turnaround
MASS aims to complete standard servicing within forty-eight (48) hours of equipment arrival at our facility. This turnaround time is an estimate and not a guarantee. Actual turnaround times may vary based on equipment condition, parts availability, workload, and other factors beyond our control.
5.2 Expedited Services
Emergency and same-day services may be available upon request and are subject to additional charges. Availability of expedited services is not guaranteed and depends on technician availability, parts inventory, and scheduling.
5.3 Pickup and Delivery
MASS offers pickup and delivery services within the Tampa Bay area and surrounding regions. Pickup and delivery schedules are subject to availability and may be affected by weather, traffic, or other circumstances. Additional charges apply for pickup and delivery services based on distance and logistics requirements.
5.4 Delays
MASS will make reasonable efforts to notify Customer of any delays in service completion. MASS is not liable for any losses, damages, or expenses resulting from delays in service turnaround or delivery, including but not limited to vessel detention, missed departures, or loss of revenue.
6. Equipment Inspection and Additional Work
6.1 Right to Inspect
MASS reserves the right to fully inspect all equipment submitted for service. If inspection reveals additional work, repairs, or replacement parts are necessary beyond the scope of standard servicing, MASS will notify Customer and provide a quotation for the additional work.
6.2 Customer Approval
MASS will not perform additional work exceeding $500 without Customer approval. In cases where Customer cannot be reached within a reasonable timeframe, MASS may, at its discretion, proceed with necessary work to ensure equipment safety and compliance, or return the equipment unserviced.
6.3 Equipment Beyond Repair
If equipment is determined to be beyond economical repair or does not meet safety standards for recertification, MASS will notify Customer. MASS is not obligated to return equipment that fails to meet minimum safety standards if such return would violate regulatory requirements. Customer may be offered the option to purchase replacement equipment.
7. Warranties and Guarantees
7.1 Service Warranty
MASS warrants that all Services will be performed in a professional and workmanlike manner in accordance with industry standards and USCG regulations. Serviced equipment is warranted to meet applicable USCG certification requirements at the time of service completion.
7.2 Product Warranty
New equipment sold by MASS is covered by the manufacturer’s warranty. MASS makes no additional warranties beyond those provided by the manufacturer. Warranty claims for new equipment must be directed to the manufacturer in accordance with the manufacturer’s warranty terms.
7.3 Warranty Period
Services performed by MASS are warranted for a period of ninety (90) days from the date of service completion or until the next scheduled service interval (whichever occurs first), provided the equipment has been used in accordance with manufacturer specifications and has not been subject to misuse, damage, or unauthorized modification.
7.4 Warranty Limitations
Warranties do not cover damage resulting from:
- Normal wear and tear
- Misuse, abuse, or negligence
- Improper storage or handling
- Unauthorized modifications or repairs
- Failure to follow manufacturer instructions
- Environmental factors beyond normal operating conditions
- Acts of God, including storms, floods, or other natural disasters
7.5 Disclaimer of Other Warranties
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, MASS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY MASS OR ITS REPRESENTATIVES SHALL CREATE A WARRANTY.
8. Limitation of Liability
8.1 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MASS’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY CUSTOMER FOR THE SPECIFIC SERVICE OR PRODUCT GIVING RISE TO THE CLAIM.
8.2 Exclusion of Consequential Damages
IN NO EVENT SHALL MASS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF USE, VESSEL DETENTION, MISSED DEPARTURES, CREW COSTS, OR LOSS OF BUSINESS OPPORTUNITY, WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF MASS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8.3 Limitation Application
The limitations of liability set forth in this Section 8 apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, and shall survive and apply even if any limited remedy specified in these Terms is found to have failed of its essential purpose.
9. Customer Responsibilities
9.1 Equipment Condition
Customer is responsible for ensuring that equipment submitted for service is reasonably clean and free from hazardous materials. MASS reserves the right to refuse service or charge additional fees for equipment requiring extraordinary cleaning or handling.
9.2 Equipment Ownership
Customer represents and warrants that they are the owner of all equipment submitted for service or have proper authorization from the owner to submit such equipment. Customer agrees to indemnify MASS against any claims arising from disputes over equipment ownership.
9.3 Accurate Information
Customer must provide accurate information regarding equipment history, previous service, known defects, and intended use. Customer must also provide accurate contact information for service notifications and updates.
9.4 Regulatory Compliance
Customer is responsible for ensuring compliance with all applicable federal, state, local, and international regulations governing the operation, maintenance, and certification of safety equipment. MASS provides Services to support Customer compliance but does not assume responsibility for Customer’s regulatory obligations.
9.5 Equipment Retrieval
Customer must retrieve serviced equipment and documentation within thirty (30) days of service completion notification. Equipment not retrieved within this period may be subject to storage fees of $10 per day per item. Equipment unclaimed for ninety (90) days may be disposed of or sold to recover outstanding charges.
10. Pickup and Delivery Services
10.1 Scheduling
Pickup and delivery services must be scheduled in advance and are subject to availability. MASS will make reasonable efforts to accommodate Customer’s preferred schedule but cannot guarantee specific pickup or delivery times.
10.2 Access and Safety
Customer must ensure safe access to equipment for pickup and delivery. Customer is responsible for ensuring that vessel access, marina facilities, and delivery locations are safe for MASS personnel and vehicles. Customer must notify MASS of any special access requirements, restrictions, or safety hazards.
10.3 Risk of Loss
Risk of loss or damage to equipment during transportation by MASS-provided pickup and delivery services remains with MASS. However, MASS is not liable for loss or damage resulting from improper packaging by Customer, failure to disclose fragile or sensitive equipment, or circumstances beyond MASS’s reasonable control.
10.4 Delivery Confirmation
Customer or Customer’s authorized representative must be available to receive delivered equipment and sign delivery confirmation. If no one is available at the scheduled delivery location, MASS may return the equipment to its facility, and additional delivery charges will apply.
11. Certification and Documentation
11.1 Certification Standards
All certifications issued by MASS are based on USCG regulations and industry standards applicable at the time of service. Customer is responsible for ensuring that equipment remains in compliance between service intervals.
11.2 Documentation Accuracy
MASS will provide certification documents, service reports, and other documentation upon service completion. Customer must review all documentation for accuracy immediately upon receipt and notify MASS of any discrepancies within five (5) business days.
11.3 Duplicate Documentation
Requests for duplicate or replacement certification documents may be subject to an administrative fee. MASS retains service records in accordance with applicable regulations and internal policies.
12. Intellectual Property
All intellectual property rights in materials created or provided by MASS, including but not limited to documentation, reports, training materials, and website content, remain the property of MASS or its licensors. Customer may use such materials solely for the purpose of receiving Services and maintaining equipment and may not reproduce, distribute, or create derivative works without MASS’s written permission.
13. Confidentiality
MASS will maintain the confidentiality of Customer’s proprietary information disclosed in connection with Services. However, MASS may disclose information as required by law, regulation, or court order, or as necessary to perform Services (such as sharing information with equipment manufacturers or regulatory authorities).
14. Indemnification
Customer agrees to indemnify, defend, and hold harmless MASS, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from:
- Customer’s breach of these Terms
- Customer’s violation of any law or regulation
- Customer’s misuse of equipment or Services
- Claims by third parties related to Customer’s equipment or operations
- Disputes over equipment ownership
- Inaccurate or incomplete information provided by Customer
15. Insurance
MASS maintains appropriate insurance coverage for its business operations. Customer is responsible for maintaining adequate insurance for their vessels, equipment, and operations. Customer’s insurance should cover equipment while in Customer’s possession and during transportation to and from MASS facilities.
16. Force Majeure
MASS shall not be liable for any failure or delay in performance of its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, severe weather, fire, explosion, war, terrorism, civil unrest, labor disputes, government actions, epidemics, pandemics, supply chain disruptions, or failure of suppliers or subcontractors. In such events, MASS’s obligations shall be suspended for the duration of the force majeure event.
17. Termination
17.1 Termination by Customer
Customer may cancel an order or service request at any time before work has commenced by providing written notice to MASS. Cancellations after work has commenced may be subject to charges for work completed and costs incurred.
17.2 Termination by MASS
MASS may terminate or suspend Services immediately without notice if:
- Customer fails to make payment when due
- Customer breaches any material term of these Terms
- Customer provides false or misleading information
- MASS reasonably believes that providing Services would violate any law or regulation
- Customer engages in conduct that endangers MASS personnel or facilities
17.3 Effect of Termination
Upon termination, Customer shall immediately pay all outstanding amounts owed to MASS for Services rendered and costs incurred up to the date of termination.
18. Dispute Resolution and Governing Law
18.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles.
18.2 Jurisdiction and Venue
Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Hillsborough County, Florida. Customer consents to the personal jurisdiction of such courts and waives any objection to venue in such courts.
18.3 Informal Dispute Resolution
Before initiating any formal legal proceedings, the parties agree to attempt to resolve any dispute through good faith negotiations. Either party may initiate negotiations by providing written notice of the dispute to the other party.
18.4 Limitation on Actions
Any claim or cause of action arising out of or related to these Terms or Services must be commenced within one (1) year after the claim or cause of action arose. Any claims not brought within this period are permanently barred.
19. General Provisions
19.1 Entire Agreement
These Terms, together with any written quotations, service orders, or other agreements signed by both parties, constitute the entire agreement between Customer and MASS regarding the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
19.2 Amendments
MASS reserves the right to modify these Terms at any time. Modified Terms will be effective upon posting to our website or notification to Customer. Customer’s continued use of Services after modification constitutes acceptance of the modified Terms. Material changes affecting pending orders will be communicated to affected Customers.
19.3 Waiver
No waiver by MASS of any term or condition of these Terms shall be deemed or construed as a continuing waiver of such term or condition or a waiver of any other term or condition. MASS’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
19.4 Severability
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired, and such provision shall be reformed to the minimum extent necessary to make it enforceable.
19.5 Assignment
Customer may not assign or transfer any rights or obligations under these Terms without MASS’s prior written consent. MASS may assign these Terms or any rights or obligations hereunder to any affiliate, successor, or purchaser of all or substantially all of its business or assets without Customer consent.
19.6 Notices
All notices under these Terms shall be in writing and shall be deemed given when delivered personally, sent by confirmed email, or sent by certified or registered mail, return receipt requested, to the addresses specified in Section 1 or such other address as a party may designate by written notice.
19.7 No Third-Party Beneficiaries
These Terms are for the sole benefit of Customer and MASS and do not confer any rights upon any third party.
19.8 Headings
Section headings in these Terms are for convenience only and shall not affect the interpretation of these Terms.
19.9 Survival
Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 7 (Warranties), 8 (Limitation of Liability), 14 (Indemnification), 18 (Dispute Resolution), and 19 (General Provisions).
